Market Turmoil: TeraWulf’s Stunning Decline Amid Share Conversion

In a disheartening turn of events, TeraWulf Inc. (NASDAQ: WULF) has experienced a drastic plunge in its stock value, marking a significant downturn for investors. On Tuesday, the stock dropped 7.06%, closing at $14.22. This decline extends the company’s losses into a second consecutive day as apprehensive investors reacted to the looming mandatory conversion of preferred shares into common stock.

The conversion is set to unfold on December 9, an event that could yield substantial dilution for current shareholders. All convertible preferred shares will transform into 141.9483 common shares, with fractional interests compensated in cash—a move that has sent tremors through the marketplace.

This conversion is not merely a procedural formality; it stems from the Certificate of Designations filed by TeraWulf with Delaware’s Secretary of State on March 16, 2022. Under Section 10c of this document, the company can convert all outstanding convertible preferred stocks into common shares, provided the average closing price of its common shares exceeds 130% of the conversion price ($10), observed during a specified trading window from November 4 to 24, 2025.

Patrick Fleury, the Chief Financial Officer of TeraWulf, suggests that this mandatory conversion is a step towards bolstering the company’s financial framework. He asserts that it represents a pivotal milestone aimed at refining TeraWulf’s capital structure, all the while promoting future growth and ensuring clearer transparency for investors.

Despite the evident challenges posed by the current economic climate, there are whispers that TeraWulf could still be a viable investment in the long run.
