Dutch Prosecutor Penalizes Morgan Stanley with €101 Million Fine

In a decisive move, the Dutch Public Prosecutor (OM) has imposed a staggering fine of €101 million, equivalent to $117.10 million, on two Morgan Stanley entities located in London and Amsterdam. This hefty penalty stems from allegations of dividend tax evasion, a serious legal breach that has garnered significant attention.

This recent sanction is distinct from an earlier tax liability that Morgan Stanley settled with the Dutch Tax Administration in late 2024, including applicable accrued interest. According to the OM, Dutch law generally permits domestic shareholders to reclaim or offset dividend taxes, whereas foreign recipients typically do not enjoy this benefit. The prosecutor’s investigation revealed that Morgan Stanley employed a complex structure enabling ineligible parties to improperly claim these tax rebates, casting a shadow on the firm’s tax practices.

Earlier this year, the OM announced plans to summon Morgan Stanley for criminal proceedings. However, before these actions could unfold, the financial services giant opted to accept the imposed fine, signaling an expedient resolution to the matter.

Morgan Stanley expressed satisfaction in having resolved what it referred to as a historical issue, relating to corporate tax returns submitted in the Netherlands over a decade ago.

The implications of this case are profound, highlighting the scrutiny that large financial institutions face in their tax practices and the potential repercussions of legal missteps in international finance.
